Terms and Conditions of DC Logistics US

Welcome to DC Logistics US, a provider of comprehensive 3PL logistics solutions based in Orlando, Florida, with nationwide coverage to Amazon, Walmart, and other destinations. By contracting any of our services, you agree to these Terms and Conditions. Please read this document carefully before using our services.

Scope of Services
DC Logistics US provides the following services: Warehousing Services, Local Trucking, Short & Long-Term Storage, Cross-Docking, Amazon & Walmart Prep (FBA/FBM Prep Center), E-commerce Fulfillment, Returns Management, and Amazon Partner Carrier (LTL and FTL transportation with Amazon-approved carriers). Each service is governed by both the general provisions and the specific terms outlined in this document.

General Responsibilities of the Client
The Client must provide accurate, complete, and updated information for each shipment, ensure that all goods are properly declared and free of legal restrictions, comply with applicable regulations from Amazon, Walmart, carriers, and local or federal authorities, provide all required documentation in a timely manner (invoices, packing lists, FNSKU, etc.), and notify DC Logistics US of any special product conditions (fragility, expiration dates, Hazmat restrictions, etc.).

Responsibilities of DC Logistics US
DC Logistics US will handle goods in accordance with industry best practices, safety, and regulatory compliance; provide secure facilities for storage; coordinate transportation and logistics according to agreed terms; and inform the Client of any issues detected with the goods or during the logistics process.

Limitation of Liability
DC Logistics US shall not be held liable for losses or damages caused by incorrect or incomplete information provided by the Client, delays attributable to third parties (carriers, Amazon, Walmart, customs, etc.), factory defects, original packaging damages, or hidden product defects, or force majeure events (natural disasters, strikes, pandemics, acts of war, etc.). In the event of proven liability directly attributable to DC Logistics US, our liability will be limited to the declared value of the service rendered or the replacement value of the goods, whichever is lower.

Insurance
The Client is responsible for insuring their goods. DC Logistics US may assist in the procurement of logistics insurance upon express request by the Client but does not automatically assume coverage.

Payments and Billing
All services must be paid in accordance with the rates in effect at the time of contracting. Deposits or advance payments may be required depending on the nature of the service. Late payments may result in interest charges or temporary suspension of services.

Confidentiality
DC Logistics US commits to maintaining the confidentiality of commercial, logistics, and strategic information shared by the Client, except when disclosure is required by law.

Jurisdiction
This agreement is governed by the laws of the State of Florida, USA. Any dispute shall be submitted to the exclusive jurisdiction of the courts located in Orange County, Florida.

Specific Terms by Service

1. Warehousing Services
Storage is subject to space availability and confirmation by DC Logistics US. The Client must provide a detailed inventory of all products. Goods without clear identification or documentation may be rejected. Additional charges may apply for special handling, non-standard pallets, or repacking. DC Logistics US will not be responsible for products received with near or expired expiration dates. Rotation and date control remain the Client’s responsibility. If a pallet is received in poor condition and cannot be safely handled with our equipment, DC Logistics US will re-pack the goods onto new pallets, and additional charges will apply. Receipt of goods outside working hours will only be possible under prior agreement and may be subject to additional charges.

2. Local Trucking
Local trucking services are available from Central Florida to South Florida and all areas in between. The Client must ensure accessibility at pick-up and delivery points. Additional charges apply for waiting times, failed delivery attempts, or special services. All cargo information provided by the Client must match transportation documentation and the goods being moved. Any discrepancies discovered by traffic, customs, or security authorities will be the sole responsibility of the Client. Cargo weight may not exceed 1,500 lbs per pallet. Excess weight will incur additional charges. Maximum pallet height is 80 inches. Pallets exceeding the standard dimensions of 40” x 48” will be subject to additional charges, as our rates are based on standard pallet sizes. DC Logistics US is not responsible for loss or damage of goods unless insured by the Client for their full declared value. Standard delivery time is 1–2 business days after pick-up, subject to force majeure or events beyond our control.

3. Short & Long-Term Storage
Short-term storage is defined as up to 30 days; long-term storage is over 30 days. Goods stored for more than 90 days without Client instructions may be deemed abandoned. DC Logistics US reserves the right to dispose of such goods after prior notice. Any goods presenting leaks, odor, infestations, or conditions that compromise safety may be immediately discarded, with prior notification to the Client. Goods stored beyond 90 days without payment of applicable storage fees will be considered abandoned. DC Logistics US may take possession and dispose of them as permitted by law, with no obligation of indemnification.

4. Cross-Docking
The Client must provide clear instructions regarding redistribution of goods. DC Logistics US is not responsible for delays caused by missing documents or transfer order errors. All cross-docking services must be scheduled in advance, as high dock availability is limited. DC Logistics US is not responsible for goods received in poor condition, overturned, damaged, or defective within trucks or containers. Services can be performed by pallet or by individual box; the Client must communicate this in advance. Different rates apply, and changes during operations may result in additional charges. Services performed outside business hours will incur extra charges and must be pre-arranged.

5. Amazon & Walmart Prep
The Client is responsible for providing FNSKU, SKU, ASIN, and any labeling requirements required by Amazon or Walmart. DC Logistics US will follow the Client’s instructions but will not be liable for account suspensions resulting from Amazon/Walmart policy violations outside our control. Goods received without clear instructions may result in delays or additional charges. DC Logistics US is not responsible for delays, errors, or failures in Amazon’s or Walmart’s internal systems. Seven days of free storage are provided after receipt of goods. After this period, storage fees will apply. DC Logistics US is not responsible for incomplete cases or master cases from distributors or manufacturers. We are not responsible for goods damaged before the prep process, including spilled liquids, broken fragile items, damaged packaging, or missing products at the time of inspection. Clients will be notified of such issues. Additional prep services such as bubble wrap, poly mailers, ziplock-type bags, or other specialized packaging may incur extra charges.

6. E-commerce Fulfillment
Includes receiving, storage, picking, packing, and shipping. The Client must maintain updated inventory records in our systems or integrations. Errors in final customer addresses will be the Client’s responsibility. Additional packaging materials such as bubble wrap, poly mailers, poly bubbles, or ziplock bags may generate extra charges. DC Logistics US is not responsible for goods received in damaged condition, including spills, broken items, or defective packaging. Issues will be reported to the Client. Goods with expiration dates that reach their maximum shelf life during storage will be discarded unless timely instructions are provided. Clients will be notified prior to disposal. Orders entered into the system before 11:00 a.m. (local time) will be processed and shipped the same business day. Orders entered after that time will be processed the next business day. Storage options include bins or pallets, with distinct pricing for each.

7. Returns Management
The Client must authorize how returns will be handled (re-packing, disposal, or return to Client). DC Logistics US is not responsible for the condition of returned goods provided by carriers or end customers. Additional charges apply for inspections, functionality testing, or reconditioning. All returned goods will be inspected to determine whether they can be re-stocked, reconditioned, or discarded due to poor condition. Temporary storage in bins is available for returned items, as well as final shipment to the Client’s designated destination. Returns received outside working hours are not the responsibility of DC Logistics US.

8. Amazon Partner Carrier
DC Logistics US coordinates shipments with Amazon approved carriers. The client must provide the correct Shipment ID, labels and all required documentation. DC Logistics US is not responsible for delays or rejections at Amazon caused by missing documents, inaccurate shipment information or non-compliance with Amazon standards. All pallets must meet Amazon requirements of 40 x 48 inches, certified wooden pallets, maximum 1,500 lbs and maximum 72 inches in height. DC Logistics US is not responsible for extra fees, rejections or delays caused by non-compliant pallets or packaging. Amazon often experiences heavy receiving delays, especially during peak season, and DC Logistics US is not responsible for delays of days or weeks in Amazon check-in or receiving status. DC Logistics US does not verify item or carton count and relies on the information provided by the client, so we are not liable for discrepancies later reported by Amazon. Our service is considered complete once the shipment is physically delivered to the Amazon fulfillment center or final destination. Any incident, delay or issue after delivery is the responsibility of Amazon or the receiving party. Amazon may reroute shipments due to cancellations or capacity limits, and DC Logistics US reserves the right to deliver to the most appropriate facility while keeping the original delivery rate. Once a pickup is confirmed, the customer is responsible for all charges and full payment is required even if Amazon does not accept or update the Proof of Delivery. DC Logistics US is not responsible for loss or damage to goods unless the client has purchased insurance for the full declared value. Any additional fees caused by incorrect shipment IDs, wrong addresses, invalid labels or inaccurate information provided by the client are the sole responsibility of the customer.

9. Acceptance
By contracting any service with DC Logistics US, the Client acknowledges having read, understood, and fully accepted these Terms and Conditions.

Insurance, Risk of Loss & Liability Framework (Enterprise)

1. Client Cargo / Inventory Insurance

DC Logistics US provides warehousing, 3PL logistics, cross-docking, prep center, and e-commerce fulfillment services under reasonable practices and common operational standards within the logistics industry.
The Client acknowledges that all goods, inventory, and products stored, handled, or processed by DC Logistics US remain the sole property of the Client. Therefore, the Client agrees to maintain, at its own expense, adequate insurance coverage for its merchandise as may be reasonably required for its business operations, including but not limited to:

  • Commercial insurance

  • Inventory insurance

  • Cargo / stock insurance

  • Additional coverage based on the Client’s internal policies or third-party requirements

Such coverage must reasonably contemplate events including damage, loss, theft, destruction, deterioration, or other risks while the Client’s goods are in storage, handling, preparation, order fulfillment, cross-docking, or in transit.

2. Coverage Scope & Coordination with Client’s Insurance

DC Logistics US maintains insurance policies related to its facilities and operational activities. However, such policies are primarily intended to support business continuity and general business liability, and do not constitute insurance coverage replacing the Client’s insurance over its inventory, unless specifically and expressly agreed in writing by both parties.

In the event of a claim or incident involving the Client’s goods, DC Logistics US will reasonably cooperate with the Client by providing information, documentation, and operational evidence necessary to support any investigation or claim process.

3. Custody & Operational Handling

DC Logistics US shall act as the logistics custodian of the Client’s goods during the performance of the contracted services, applying reasonable measures for control, organization, and inventory handling in accordance with standard 3PL industry practices.

If proven negligence is determined and directly attributable to DC Logistics US, liability shall be reviewed pursuant to the terms and limitations established in this Agreement.

4. Scope & Limitation of Liability (Proportional Model)

To the maximum extent permitted by applicable law, any liability that may be attributed to DC Logistics US for loss of or damage to the Client’s goods, when such loss or damage is the direct result of proven negligence by DC Logistics US, shall be limited to the lesser of:

(a) the total amount actually paid by the Client to DC Logistics US for the related services during the thirty (30) days prior to the event giving rise to the claim; or

(b) the actual and direct cost of the specific logistics service impacted.

DC Logistics US shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

  • loss of profits, earnings, or revenue

  • loss of sales, business opportunities, or business interruption

  • penalties, suspensions, or decisions made by marketplaces or third parties (Amazon, Walmart, Shopify, TikTok, etc.)

  • incidental, special, or consequential damages

  • product recalls, audits, or regulatory actions

  • errors resulting from information, documentation, labeling, listings, or instructions provided by the Client

5. Events Outside Reasonable Control (Force Majeure)

DC Logistics US shall not be responsible for losses or damages caused by events outside its reasonable control, including but not limited to:

  • fires, floods, hurricanes, storms, or other natural disasters

  • force majeure or acts of God

  • power outages or utility service failures

  • government or regulatory actions

  • delays, failures, or breaches by third-party carriers

6. Declaration, Documentation & Inventory Control

For tracking and inventory control purposes, DC Logistics US processes and manages the Client’s goods based on the documentation, declarations, and information provided by the Client.

Any review or investigation related to inventory discrepancies shall be performed based on properly declared, documented, and confirmed inventory in accordance with the procedures agreed between the parties.

7. Business Understanding & Acceptance

The Parties acknowledge that this section is intended to establish a reasonable, proportional, and industry-aligned framework for the delivery of 3PL services, preserving a clear and sustainable commercial relationship for both parties.
